TERMS OF SERVICE
Simple rules, written for humans.
Last updated: 4 November 2026
The short version
Your work belongs to you. We do not take ownership of it, sell it, use it in our advertising without your permission, or use it to train AI models. We do not authorise people who provide services to us to train AI models on it either.
NIVA is here to help you make things. Studio is your creative workspace. Storehouse is where you can keep, organise, show and share your work. One account covers both, even if you only use one of them.
Everyone can use NIVA Studio free for up to one hour every day, without a card. Storehouse also has a free Creator plan. Paid options are optional, and we explain the price before you buy.
Your files should never become hostage to a subscription. You can download your work, and we will give you a fair chance to take it with you if a service closes.
In return, please respect other people, their work and the law. If something goes wrong, we will try to be fair, clear and human about it.
Who we are and what these terms cover
NIVA Studio and Storehouse by NIVA are operated by STUART SEMPLE STUDIO LTD, a company registered in England and Wales under number 11988049. Our registered office is London Studio, 20 Wenlock Road, London, N1 7GU, United Kingdom. In these terms “NIVA”, “we”, “us” and “our” mean that company.
These terms cover NIVA Studio, Storehouse, your NIVA account, public portfolios, shared links and the related features we provide. The same agreement applies whether you sign up through Studio or Storehouse. Features you do not use do not create a payment obligation.
By creating an account and positively accepting these terms, you agree to them. Existing users will be asked to accept the unified terms before they continue with the affected features. If you use NIVA for a business, studio or organisation, you confirm that you have authority to agree on its behalf. Our Privacy Policy explains how we handle personal information.
You must be at least 16 to create an account. If the law where you live requires an older minimum age or particular parental permission, those requirements also apply.
Your work is yours
You keep ownership of the artwork, designs, documents, images, files and other material you create or upload. We do not acquire copyright in your work because you use NIVA.
You give us a limited permission to host, copy, process, convert, back up and display your content only as reasonably needed to provide the features you choose, including editing, previews, storage, exporting, security and sharing with people you select. This permission is not an assignment of your rights. It ends when the content is deleted from our active systems, subject to lawful retention and the normal backup cycle.
We do not sell your work or use it in our promotional materials without your separate permission. We do not use private or published creator work to train generative AI models, and we will not authorise our service providers to do so for us.
You are responsible for having the rights needed to create, upload, store and share your material. You are welcome to make challenging, provocative or political art. Our rules are intended to prevent unlawful and abusive behaviour, not to police artistic taste.
We own NIVA itself, including our software, branding and interface. Buying Studio Unlock gives you the access and licence described below, not the copyright in NIVA or ownership of its source code.
Studio: free use, Day Passes and Unlock
Free Studio. Anyone with an eligible account can use NIVA Studio for up to one hour per day at no charge. No payment card is required. Unused time does not roll over. We may take reasonable steps to prevent abuse of free access, but we will not quietly turn free use into a paid subscription.
Day Pass. A Day Pass currently costs US $10 and gives 24 consecutive hours of full Studio access from activation. The final payable price, currency and any applicable taxes are shown at checkout. Where a purchase is sold through Stripe Managed Payments, Sold through Link acts as merchant of record for the transaction and handles payment processing, applicable indirect taxes and payment support. We remain the seller and provider of the NIVA product and responsible for our product promises and applicable consumer rights. It is a one-off purchase, not a subscription.
Unlock. Studio Unlock currently has a standard price of US $100 before earned Day Pass credits and any applicable taxes. It gives your account full access to the online version of NIVA Studio for as long as that online service operates. It is a one-off purchase and does not renew.
If we release a standalone downloadable edition of NIVA Studio, people who purchased Unlock will be entitled to download the standalone edition made available under that promise. Once downloaded, your copy is yours to retain and use under its accompanying licence, subject to the technical requirements of that edition. We are not promising a release date, a particular operating system, or that every future online feature will work offline.
Every eligible US $10 Day Pass purchase earns US $10 credit towards the standard US $100 Unlock price, to a maximum credit of US $100. The credit stays with your account, does not expire while NIVA operates, cannot be transferred or exchanged for cash, and is removed if the related Day Pass is refunded or reversed. We show your actual remaining Unlock price before checkout. Credits do not reduce Storehouse subscription charges.
We may release new tools and improvements, and we may change how Studio works. We will not turn an existing Unlock into a recurring payment obligation or take away its core access promise through a hidden change to these terms.
Kickstarter Founders
People entitled to Founder benefits under the original NIVA Kickstarter campaign receive early access to the web version, full Founder Studio access without ongoing Studio fees, and future Studio upgrades covered by the Founder promise for as long as the relevant service operates.
Founders also receive the free Storehouse Creator tier with its standard 50-file and 5 GB limits, access to the promised standalone download when it is ready, and a way to suggest features and report fixes. Some backers were promised an acknowledgement in NIVA’s About credits. We will honour those acknowledgements for the people entitled to them.
Founder benefits are attached to the eligible backer account and are not a new paid subscription. These terms do not reduce any more generous, specific promise made to an individual backer in the Kickstarter campaign or their reward confirmation.
Storehouse accounts and paid plans
Every eligible NIVA account can use the free Storehouse Creator tier. It includes up to 50 files and 5 GB of storage. You reach the free limit when either allowance is reached. Unlocking Studio does not change your Storehouse storage limit.
You can purchase additional Storehouse capacity through the upgrade page. The price, taxes, limits, seats if relevant, billing interval and plan features shown when you order form part of that purchase. Unless the checkout says otherwise, paid Storehouse plans renew monthly until cancelled.
You can cancel a monthly plan at any time using the account billing controls or by contacting us. Cancellation stops future renewals, and paid access normally continues until the end of the already-paid billing period. Any refund or cancellation rights the law gives you still apply.
If a subscription payment fails, or you cancel and your files exceed the free allowance, we may restrict new uploads or some sharing features. We will not delete existing work without warning merely because a payment failed. You can still ask for a practical way to download your files, except where access must lawfully be restricted.
For transactions sold through Stripe Managed Payments, Stripe/Link manages the payment method, transaction support, refunds and subscription billing through its customer tools. We remain responsible for delivering Storehouse and handling problems with the service. If a paid price changes, we will notify you before the new charge applies and explain how to cancel. Any mandatory renewal reminders, notices or cooling-off rights applicable to your subscription remain in place.
Sharing, portfolios and invitations
Your portfolio is not published by default. You choose whether to make a profile or particular work public. When you publish, other people may be able to view and share it, and search engines may index it. Search engines or people who saved a copy may keep it after you unpublish.
A share link is like a key. Anyone who has an unrestricted link may be able to open it. Use expiry dates, permission settings and access requests where available. You can revoke a link. Revocation stops new authorised access, but a person who already downloaded a file keeps their copy, and an already-open session or cached file may remain accessible for a limited period. As described in our existing Storehouse terms, previously opened access can last up to six hours in some circumstances.
Collect links and invitations let other people send you files or receive a message at an address you provide. Only invite people where it is appropriate to do so, and be thoughtful about what you choose to retain. NIVA will not treat a sharing invitation as permission to send that recipient our marketing.
You are responsible for the content you deliberately choose to make public or share. If we introduce messaging or new publication features, we will explain any new privacy choices before they go live.
What is not allowed
Please do not use NIVA to store, publish, send or help distribute material that is illegal; infringes another person’s copyright, privacy or other rights; involves child sexual abuse or unlawful intimate imagery; threatens, seriously harasses or exploits people; contains malicious software, scams or phishing; or is designed to compromise somebody else’s account, device or security.
Do not use NIVA to evade access limits, interfere with its operation or use free Storehouse storage as a mass-download service, piracy mirror, website file server or content delivery network. Ordinary creative sharing, including a work becoming unexpectedly popular, is not automatically abuse.
We may place reasonable technical limits on storage, bandwidth, accounts and usage to keep the service working fairly. We will try to address abusive sharing by limiting the relevant link rather than touching underlying artwork where it is safe to do so.
Reports, moderation and appeals
Anyone can report concerning public content or sharing through the contact form. Please include the relevant link and enough information to explain the issue. Our existing support team handles reports and escalates them for human review where judgement is needed.
We may hide material, disable a link, limit publishing, suspend an account, preserve evidence or report material to authorities when reasonably necessary for safety, security or legal compliance. We may use automated detection to flag material or filter abusive feedback, but significant decisions can be reviewed by a person.
We normally explain a significant restriction and how to challenge it, unless doing so is unsafe, unlawful or would compromise an investigation. To appeal, reply to the notice or use the contact form. We will consider the explanation and correct mistakes. In some circumstances we must prevent access to files, including downloads, when possession or distribution is unlawful.
We do not routinely read private artwork just because it is stored with us. Reasonable security checks, investigated reports, public content and legally required reviews are different.
Deleting files, closing accounts and taking your work away
You can download your files while your account is active and access is lawful. Please also keep a separate copy of irreplaceable work.
When you delete a Storehouse file, it stays in the recovery bin for 30 days unless a different lawful retention or urgent safety requirement applies. After that it is removed from active storage. Residual copies in disaster-recovery backups can remain until their ordinary deletion cycle; they are not made available as a normal way of recovering deleted files.
If you close your account, access to Studio and Storehouse ends, including any live session, your public profile and your share links. Your files are kept rather than deleted, so you can ask us to reopen the account if you change your mind. Erasing a closed account is done on request: ask us and a person will erase your profile, your files and your sign-in credentials from our active systems, normally within one month. Some limited records may have to be kept for legal, accounting, anti-fraud or dispute purposes, and we will tell you which. Simply cancelling a Storehouse subscription does not itself close your account.
You can request account closure, data access or erasure by getting in touch. We will not treat the fact that a request needs human handling as a reason to ignore it.
If NIVA or Storehouse closes
If we decide to discontinue the online Studio service, we will give reasonable advance notice where possible. Unlock customers and eligible Founders will be offered the promised standalone downloadable edition if one has been created and can lawfully be distributed. If no standalone edition exists, we will not pretend otherwise.
If we close a service that stores files, we will keep a practical route for users to download their stored work available for at least eight weeks after our closure notice wherever technically and legally possible. We will try to give longer notice. Exceptional events, such as a legal order or sudden loss of infrastructure, may prevent all or part of this, but we will do what we reasonably can.
For an Unlock purchased less than three years before the online Studio service ends, we will consider a fair discretionary closure refund, taking account of when you bought it, the access you actually received and the circumstances of closure. The three-year period starts on the Unlock purchase date, not when you created your account. We do not ordinarily offer a discretionary closure refund after three years of use. This goodwill policy does not limit any refund or remedy required by law.
Closing Storehouse or Studio does not give us ownership of your files. We will give you the best practical way we can to take your work with you.
Refunds and consumer rights
Unused Day Passes. If you ask within 14 days of buying a Day Pass and it has not been activated or used, we will refund it. If you request immediate supply and the Day Pass is fully performed during the statutory cancellation period, a statutory cooling-off right may end once full performance is complete, subject to the legally required request, acknowledgement and confirmation. Other legal rights remain unaffected. A refunded pass no longer counts towards Unlock.
Studio Unlock. We treat the current browser-based Unlock as an ongoing online service, with the future standalone download covered separately when it is released. Where a statutory right to cancel applies, we will honour it and any lawful proportionate charge for service supplied at your express request. Separately, you may ask for a goodwill refund within 14 days after buying Unlock. We will consider that request fairly. If granted, your paid Studio access ends and your account returns to the free Studio allowance of up to one hour each day. Your separate Storehouse account and any Storehouse subscription are unaffected. Credits from earlier non-refunded Day Passes remain attached to your account.
Storehouse subscriptions. The current Storehouse subscription is an ongoing hosted storage and sharing service. You can cancel future monthly renewals as described above. Where a statutory 14-day cancellation right applies, it is not lost simply by starting access. If you expressly requested immediate performance, a proportionate amount for services actually supplied may be payable as law permits. Other statutory cancellation or refund rights apply in addition to our stated policy.
Your rights under consumer law are not replaced by these goodwill policies. Digital content or services supplied immediately may have different cancellation rules depending on your location and the kind of purchase. Where legally required, we will obtain your express request or consent to immediate supply, explain any effect on statutory cancellation rights, and send the required purchase confirmation. Nothing in these terms excludes rights relating to defective digital content, services not provided with reasonable care and skill, or other non-excludable remedies.
To request a refund or raise a billing concern, use the Link order-management or support link in your purchase receipt, or use the contact form with the purchase email and date. Stripe/Link may process a refund or provide transaction support under its applicable purchase terms. We remain available for product complaints and will help direct you to the right route. We will not ask for your full card number.
Security, interruptions and your backups
We take reasonable steps to protect accounts and stored files, including using specialist hosting and security providers. No online service can guarantee zero outages, zero bugs or that a file can never be lost. NIVA may need maintenance, updates and temporary pauses. We will try to keep interruptions sensible and communicate significant planned outages.
Please keep a separate copy of anything you cannot bear to lose. Our responsibility for failures is described below, and your mandatory legal rights always apply.
Keep access to your sign-in email secure. Please tell us promptly if you believe your account has been used without permission.
Changes to NIVA and these terms
We will make reasonable changes to improve, secure and maintain NIVA. If we make a material change to these terms, paid benefits or how your work is used, we will give advance notice wherever practicable and explain the change in plain language. We will not use a terms update to take ownership of your creations, authorise AI training on them or quietly impose recurring charges on existing Unlock purchases.
If you do not accept a material change, you may stop using the affected service and ask to export your work. Any rights to cancel, claim a refund or seek another remedy under applicable law remain available.
Terms in force when you purchase a paid product, together with the checkout description of that purchase, govern the purchase unless a lawful later change applies.
Responsibility and legal rights
Nothing here limits responsibility for fraud, death or personal injury caused by negligence, or anything else that the law does not allow us to exclude. Nothing removes mandatory consumer protections in the country where you live.
If you are a consumer, we are responsible for reasonably foreseeable loss caused by our breach of contract or failure to use reasonable care and skill. We are not responsible for loss that is not a foreseeable result of our breach, or caused by circumstances outside our reasonable control. These sentences do not override your legal rights, including rights concerning digital content and data.
If you use NIVA wholly for business purposes, neither party is responsible to the other for indirect or consequential loss or lost profit, revenue, goodwill or business opportunity, except where the law says otherwise. For business use, our total aggregate liability arising from NIVA in any 12-month period is limited to the greater of US $100 or the amount you paid to NIVA in that 12-month period, except for matters that cannot lawfully be limited. This limit does not prevent you from claiming the refund of charges you are expressly entitled to under these terms.
You are responsible for your own unlawful material or misuse of NIVA, but we will not ask consumers to indemnify us for unrelated or unforeseeable costs.
Payments, confirmations and starting right away
Some payments are sold through Stripe Managed Payments and described as “Sold through Link”. Link is the merchant of record for eligible transactions and provides payment, tax and order-management services under its own terms. NIVA remains the seller and provider of Studio and Storehouse. Both sets of terms can apply, each to its own role.
Where the law gives a cooling-off period, the checkout will explain it before purchase. If you ask us to start an online service immediately, we may charge an amount permitted by law for the service already supplied if you cancel within that period. For a short service that has been fully performed, the cancellation right may end if the necessary consent and acknowledgement were obtained. We will not treat the mere fact of payment as consent to waive a statutory right.
The checkout or purchase confirmation will identify your product, price, renewal terms if applicable, how to seek cancellation and a copy of the terms that apply. If a separate downloadable application is offered later, its supply and cancellation disclosures will be provided at that time.
Law and contact
These terms are governed by the law of England and Wales. If you are a consumer, you keep any mandatory protections that apply where you live, including any right to bring a claim in your local courts. Otherwise, courts in England and Wales have jurisdiction.
Questions, complaints, copyright reports, moderation appeals, billing queries and privacy requests: the contact form. We would rather hear about a problem and put it right than hide behind legal language.
